Hmm im not sure if your Qc file is wrong or maybe one of the smd files ..
Both smd files should be in the same directory, and it is a bit easier if you rename them after their purpose.
For example here is one of my qc file with extra explanations:

So watch out that you named all things correctly, both smd files.
Also you must have: 1 Bone assigned to the model, and one frame of animation, even if there is nothing to move ^^
Last thing you really need, is an assigned 8 bit bmp for the diffuse slot.
If you still have problems, try to decompile a current mdl into its components, and then try to compile those files back into mdl , if it's still not working, than maybe it's milkshape.
